IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO HANGRY JOE'S IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

10. Indemnification

You agree to defend, indemnify, and hold harmless Hangry Joe's and its officers, directors, employees, agents, licensors, contractors, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

13. Dispute Resolution

13.1 Informal Resolution

We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If we are unable to resolve the dispute informally within that period, either party may proceed to binding arbitration as described below.

13.2 Binding Arbitration

EXCEPT FOR CLAIMS SEEKING INJUNCTIVE OR OTHER EQUITABLE RELIEF, OR CLAIMS THAT MAY BE BROUGHT IN SMALL CLAIMS COURT, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, OR YOUR USE OF THE SERVICES, SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION.

The arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or other applicable rules), which are available at www.adr.org. The arbitration shall be conducted in the English language. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

The arbitrator shall have the authority to award any remedy that would be available in a court of law, except that the arbitrator shall not have the power to award punitive or exemplary damages unless expressly authorized by statute. Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines that a party's claim or defense was frivolous or asserted in bad faith.

13.3 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND HANGRY JOE'S AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. IF A COURT DETERMINES THAT THIS CLASS ACTION WAIVER IS UNENFORCEABLE, THEN THE ARBITRATION AGREEMENT IN THIS SECTION SHALL BE NULL AND VOID.

13.4 Small Claims Court

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes or claims within the scope of that court's jurisdiction, provided the matter remains in small claims court and is not removed or appealed to a court of general jurisdiction.

14. Term and Termination

In the event of a Force Majeure Event, we will make reasonable efforts to notify you and to resume performance as soon as reasonably practicable. If the Force Majeure Event continues for a period exceeding sixty (60) days, either party may terminate affected orders or agreements upon written notice to the other party.
